This Terms of Service (“Agreement”) thoroughly describes ShivMani InfoTech Private Limited’s ("HoteLine"), company incorporated under the laws of GOVERNMENT OF INDIA having CIN U72200PN2015PTC154627 with its registered office at H No 285 (1), Nagzari Mala,  Savta Mali Nagar, AT Po Taluka Indapur, Dist Pune - 413106, Maharashtra, INDIA, This Agreement is a legal agreement between the User and HoteLine. By accepting electronically (for example, clicking “I Agree”). Installing, accessing or using the services, User agrees to these terms. If the User does not agree to this Agreement, then he/she may not use the Services. This License Agreement shall be governed by and construed in accordance with the laws of the INDIA.

These Terms of Service apply to all users of the Mobile Application, Desktop Application, Website, Platform and any services provided by HoteLine.

Please Read these Terms and Conditions Carefully

All contracts that the Provider may enter into from time to time for the provision of the Hosted Services and related services shall be governed by these Terms and Conditions, and the Provider will ask the Customer for the Customer's express acceptance of these Terms and Conditions before providing any such services to the Customer.

HoteLine grants to the Customer a non-exclusive, non-transferable, personal license to use the Software at the Location for the number of servers or end users specified on the Order Form. If the Customer proceeds to use the Software then the Customer agrees that he/she has accepted the terms of this Agreement. This license to use the Software shall terminate if the Customer no longer takes Maintenance and Support services.

  1. Trade Name and Intellectual Property Rights- HoteLine, HoteLine logo, the name of the individual service, Tag lines, Patents, Trade Names and their respective logos are trademarks of ShivMani InfoTech Pvt. Ltd (“HoteLine”). You are not entitled to display or use, the HoteLine trademarks without Hoteline’s prior written permission. Doing so would constitute infringement.
  2. HoteLine undertakes to install the Software and will provide Maintenance and Support for as long as the Customer pays for the Maintenance and Support. Except as expressly agreed, the Customer will not rent, lease, sub-license the Software, Third Party Software or Products, nor distribute the Software or Third Party Software to any third party.
  3.  The Software may be subject to security measures to protect HoteLine’s rights, such as in the event of non-payment. Unless as expressly agreed, HoteLine does not provide Maintenance and Support for Third Party Software or the Products.
  4. Annual License Renewal (“ALR”) OR Annual Maintenance Charges (“AMC”) OR Annual Service Contract (“ASC”) - In order to have predictable service and sustainable business where HoteLine can guarantee high quality product updates and assured services, HoteLine make ALR/AMC/ASC mandatory to renew software license validity and extend it for year (or specified period of service). It is important that you renew your License every year at-least 10 days before it expires to enjoy software & technical support, self-help tutorials, videos, regular, periodic, maintenance updates & continued product working. Please note that if the product license is not renewed on time, HoteLine software will not work & late payment charges will apply in addition to the license renewal.
  5. HoteLine reserves the right to increase its charges any time with or without giving a prior notice to the Customers of such increase.
  6. It is customer’s obligation to determine what, if any, taxes apply to the sale of your products and services and/or the payments you receive in connection with your use of HoteLine ("Taxes"). It is your sole duty to assess, collect, report, or remit the correct tax to the proper tax authority. We are not supposed to, nor will we determine whether Taxes apply, or calculate, collect, report, or remit any Taxes to any tax authority arising from any transaction. You admit that we can make certain reports to tax authorities in regards to transactions that we process and users to which we provide HoteLine Product and services.
  7. Notwithstanding any other rights under this Agreement, HoteLine may suspend or terminate the performance of its obligations under this Agreement where the Customer is in default of payment, or violating any terms in the agreement.
  8. It is the Customer’s responsibility to ensure that Equipment is compatible with the Software, any Third Party Software and Products. The Customer will allow reasonable physical and systems access to its Location and Equipment to enable HoteLine to install the Software and to provide Maintenance and Support. HoteLine engineers will need network logins for the Software being used on the Equipment rights with administration rights.
  9. The Customer agrees to use the Software in accordance with all operating instructions and agreed procedures then he/she cannot change or update its configuration without the approval of HoteLine.
  10. The Customer should keep full security copies of all data processed by the Software. HoteLine will not be liable for any loss of data.
  11. If HoteLine not able to reproduce a logged fault, the Customer will assist in providing remote access to the PC or Server to further investigation of fault.
  12. Users who are suspected of having information which involves fraud, embezzlement, money laundering, insider trading, support for terrorism, or any other activity proscribed by law may have their accounts terminated, their financial data erased, and they also may be reported to law enforcement officials in the appropriate jurisdictions.
  13. You agree not to store, upload, transmit virus, Trojan horse, worm or other disruptive or harmful software or data and any information, software or content which is not legally yours and may be protected by copyright or other proprietary rights, or derivative works, without permission from the copyright owner or intellectual property rights owner.
  14. The company has the rights to make amendments or add to the terms of this Agreement at any time, and to change, delete, discontinue, or impose conditions on any feature or aspect of the HoteLine products and services with or without notice that we in our sole discretion deem to be reasonable in the circumstances.
